Terms of Use
These Terms of Use govern access to and use of MfgWave, including the manufacturing directory, marketplace listings, user accounts, company profiles, inquiries, and related platform features.
1. Acceptance of Terms
These Terms of Use, together with our Privacy Policy and any additional rules, notices, guidelines, or policies posted on the platform, form a binding agreement between you and MfgWave regarding your access to and use of the platform.
By accessing, browsing, registering for, submitting information to, posting content on, or otherwise using MfgWave, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the platform.
If you use the platform on behalf of a business, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you personally and the entity you represent.
2. Platform Role
MfgWave is a North America-focused manufacturing discovery platform that may include a company directory, industrial marketplace listings, business profiles, account tools, inquiry features, category suggestions, location suggestions, moderation tools, and related services.
MfgWave is not a manufacturer, broker, dealer, distributor, seller, buyer, inspector, appraiser, logistics provider, payment processor, professional adviser, or agent for any user unless we expressly state otherwise in writing.
We do not own, inspect, verify, certify, warehouse, deliver, insure, finance, or guarantee any listed product, service, equipment, material, company, seller, buyer, supplier, inquiry, quote, statement, or transaction appearing on or initiated through the platform.
3. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction, or have lawful authority and consent from a parent or legal guardian, to use features that require an account or submission of information.
You agree to provide accurate, current, and complete information when creating an account, posting a listing, submitting a company profile, making an inquiry, or using any interactive feature. You must keep your account credentials confidential and are responsible for all activity under your account.
We may refuse registration, suspend access, remove content, limit features, or terminate accounts where we believe, in our sole discretion, that a user has violated these Terms, created risk, submitted false information, misused the platform, or acted in a manner harmful to MfgWave, its users, or third parties.
4. Directory Information and Company Profiles
Directory listings and company profiles may include information obtained from public sources, third party datasets, user submissions, company representatives, automated processing, or administrative research. This information may be incomplete, outdated, inaccurate, duplicated, miscategorized, or not suitable for your intended purpose.
We do not guarantee that any company is active, licensed, insured, certified, qualified, available, capable, financially stable, compliant with laws, or suitable for any specific project or transaction.
Company owners or authorized representatives may request changes, corrections, claims, or removals where appropriate. We may review such requests, but we are not obligated to approve every request or make changes within any particular time period.
5. Marketplace Listings and User Content
Users may be able to post or submit marketplace listings, company information, images, descriptions, prices, categories, locations, contact details, wanted requests, service offers, inquiries, and other content collectively called “User Content.”
You are solely responsible for User Content that you submit, post, upload, transmit, or make available through the platform. You represent and warrant that your User Content is accurate to the best of your knowledge, that you have all necessary rights and permissions to submit it, and that it does not violate any law, regulation, contract, intellectual property right, privacy right, publicity right, or third party right.
You grant MfgWave a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, use, reproduce, modify, adapt, publish, display, distribute, index, promote, and otherwise process your User Content for purposes of operating, improving, securing, moderating, marketing, and displaying the platform and related services.
We may edit, reject, hide, reclassify, moderate, score, block, remove, or delete User Content at any time and for any reason, including suspected fraud, spam, safety concerns, inaccurate information, prohibited items, legal risk, user complaints, or failure to meet platform standards.
6. Transactions, Inquiries, and Dealings Between Users
Any communication, inquiry, negotiation, quote, sale, purchase, rental, service arrangement, payment, delivery, inspection, warranty, return, refund, dispute, tax obligation, or other dealing between users is solely between those users.
MfgWave is not responsible for and does not guarantee any transaction, listing, inquiry, price, payment, delivery, quality, availability, performance, condition, title, ownership, safety, compliance, warranty, fitness for purpose, or outcome.
You should use reasonable caution before communicating with strangers, sending deposits, releasing goods, sharing sensitive information, arranging pickup or delivery, or making payment. You should verify identity, ownership, condition, business legitimacy, certifications, insurance, and legal compliance independently.
7. Prohibited Conduct and Prohibited Content
You agree not to use the platform for any unlawful, harmful, misleading, abusive, or unauthorized purpose.
Without limitation, you must not:
- Post false, misleading, deceptive, fraudulent, defamatory, obscene, hateful, discriminatory, threatening, or unlawful content.
- Post items or services that are illegal, stolen, counterfeit, unsafe, restricted, recalled, infringing, or not owned or authorized by you.
- Misrepresent identity, affiliation, authority, ownership, product condition, certification, location, pricing, or availability.
- Use the platform for phishing, spam, malware, scraping, credential theft, unauthorized data collection, or automated abuse.
- Attempt to bypass security, moderation, captcha, access controls, rate limits, account restrictions, or technical protections.
- Upload viruses, malicious code, corrupted files, tracking tools, spyware, or content that disrupts the platform.
- Harass, threaten, impersonate, exploit, or harm any person or business.
- Copy, scrape, reproduce, resell, aggregate, or commercially exploit platform data except as expressly permitted by us in writing.
- Use the platform in a manner that violates export controls, sanctions, customs rules, anti-corruption laws, competition laws, consumer protection laws, privacy laws, intellectual property laws, or other applicable laws.
We may cooperate with law enforcement, regulators, rights holders, payment providers, hosting providers, and other third parties where we believe doing so is required or appropriate.
8. Moderation, AI Review, and Enforcement
We may use manual review, automated tools, artificial intelligence, third party services, user reports, and internal rules to review, score, approve, reject, classify, block, or remove content and accounts.
Moderation tools are not perfect. Approval of a listing, profile, message, category, location, image, or other content does not mean that we endorse, verify, guarantee, certify, or accept responsibility for it.
We may take enforcement action without notice where we believe action is necessary to protect users, the platform, legal compliance, platform quality, or business operations.
9. Fees, Paid Features, and Changes
Some features may be free, and some features may become paid, promoted, limited, or subscription-based in the future. If paid features are offered, additional terms, pricing, billing rules, refund rules, taxes, and payment processor terms may apply.
We may add, remove, suspend, modify, limit, or discontinue any feature, content, category, location, plan, price, promotion, or service at any time, with or without notice, to the extent permitted by law.
10. Third Party Links, Services, and Content
The platform may contain links, data, embeds, references, tools, or content from third parties. We do not control third party websites, services, statements, data, terms, privacy practices, products, or conduct.
Your use of third party services is at your own risk and may be subject to separate terms and policies. We are not responsible for any loss, damage, dispute, or liability arising from third party services or content.
11. Intellectual Property
The platform, including its design, software, code, layout, branding, logos, text, graphics, icons, databases, features, and compilation of content, is owned by MfgWave or its licensors and is protected by intellectual property and other laws.
Except as expressly allowed by these Terms or applicable law, you may not copy, reproduce, modify, distribute, sell, rent, lease, reverse engineer, decompile, scrape, create derivative works from, or exploit any part of the platform without our prior written consent.
If you believe content on the platform infringes your intellectual property rights, contact us with enough detail to identify the content, your rights, your contact information, and the action you request.
12. Privacy and Data
Our collection, use, storage, and disclosure of personal information are described in our Privacy Policy. By using the platform, you acknowledge that information may be processed in accordance with that policy and applicable law.
You must not submit personal information about another person unless you have lawful authority to do so. You are responsible for ensuring that any contact information, company information, inquiry details, and listing information you submit complies with applicable privacy, anti-spam, and data protection laws.
13. Disclaimers
To the maximum extent permitted by law, the platform and all content, features, data, listings, profiles, messages, tools, and services are provided “as is” and “as available,” without warranties, representations, or conditions of any kind, whether express, implied, statutory, or otherwise.
Without limitation, we disclaim all warranties and conditions of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, title, non-infringement, availability, security, uninterrupted operation, error-free operation, and suitability for any business or transaction purpose.
We do not warrant that the platform will be secure, uninterrupted, accurate, complete, current, free from harmful components, or available at any particular time or location.
14. Limitation of Liability
To the maximum extent permitted by law, MfgWave and its owners, directors, officers, employees, contractors, agents, affiliates, licensors, service providers, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, lost profits, lost revenue, lost business, lost data, loss of goodwill, business interruption, cost of substitute services, transaction losses, fraud losses, personal injury, property damage, or other losses arising from or related to your use of or inability to use the platform.
To the maximum extent permitted by law, our total aggregate liability for any claim arising from or related to the platform or these Terms will not exceed the greater of: (a) the amount you paid directly to us for the specific service giving rise to the claim in the three months before the claim arose; or (b) CAD $100.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
15. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless MfgWave and its owners, directors, officers, employees, contractors, agents, affiliates, licensors, service providers, and representatives from and against all claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, costs, and expenses, including reasonable legal fees, arising from or related to:
- Your access to or use of the platform.
- Your User Content, listings, profiles, messages, inquiries, or submissions.
- Your transactions, communications, disputes, or dealings with other users or third parties.
- Your breach of these Terms or any additional terms.
- Your violation of any law, regulation, contract, intellectual property right, privacy right, publicity right, or third party right.
- Your fraud, negligence, willful misconduct, misrepresentation, or misuse of the platform.
16. Suspension and Termination
We may suspend, restrict, or terminate your account or access to the platform at any time, with or without notice, where we believe such action is appropriate, including for violation of these Terms, suspected fraud, security risk, legal risk, misuse, inactivity, or harm to the platform or users.
After termination, provisions that by their nature should survive will survive, including ownership rights, licenses granted to us, disclaimers, limitations of liability, indemnification, dispute terms, and any payment obligations.
17. Governing Law and Disputes
These Terms and any dispute, claim, or proceeding arising from or related to the platform are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles, unless mandatory law requires otherwise.
Subject to any mandatory consumer protection or jurisdictional rights that cannot be waived, you agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute arising from or related to these Terms or the platform.
Before starting legal proceedings, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days, unless urgent court relief is reasonably necessary.
18. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a new effective date. Your continued use of the platform after updated Terms are posted means you accept the updated Terms, to the extent permitted by law.
If you do not agree with updated Terms, you must stop using the platform.
19. General Legal Terms
If any part of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a merger, acquisition, sale of assets, reorganization, change of control, or operation of law.
These Terms, together with the Privacy Policy and any additional terms that apply to specific features, form the entire agreement between you and us regarding the platform.
